STRUCTURING CORPORATE FINANCING FOR INTERNATIONAL PROJECTS: BANKING PRACTICE

› Objectives
- Understand how a debt instrument meets the commercial needs of the borrower - consider the debt profile;
- Assess the ranking of the instrument relative to both other creditors in the company and within the group structure;
- Techniques for assessing how and if the terms and conditions of the debt instrument meet the commercial needs of the borrower and protect the lenders' interests.

- Considerations when evaluating different debt instruments;
- Ranking: uncovering the potential for subordination;
- Terms and conditions: critique loan structures to assess both the ability to meet the commercial needs of the borrower and protect the lender’s interests.
› Case studies
- Drafting Financing proposal (Term Sheet) to a blue-chip Multinational or Russian corporate;
- Examples of standard Legal wording of key safeguards and representations in the loans documentation (Loans Market Association (LMA) standard).
› Materials
- Teaching materials – course presentation (slides), case studies and print outs – will be distributed in English (minimum required level of English is Upper intermediate);
- Lections, discussions and work in groups will be held in Russian.
The illustration case study (work in groups) will be followed throughout the course during the seminar sessions followed after theoretical lection reading.

Alexey N. Omelchenko, PhD
Graduated from People's Friendship University of Russia in 2006 and received PhD degree later in 2009. Has almost 10 years of banking experience with more than 4 years specifically in corporate and structured financing of top Russian corporates.
